1. Agreement to Terms
By accessing or using the services, website, or materials provided by Prime Client Systems ("we," "our," or "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our services.


2. Services
All services are provided as described during your strategy call and confirmed in writing. Each client receives a custom quote based on their business needs. No service is guaranteed to produce a specific result, and all deliverables are provided on a best-effort basis.


3. Custom Quotes & Payment

- All pricing is custom and determined on a case-by-case basis after your free strategy call.
- No work will begin until a written proposal is accepted and any required initial payment is received.
- All invoices must be paid in full by the due date stated on the invoice. Late payments may result in suspension of services.
- All sales are final; no refunds are issued once work begins.


4. Client Responsibilities
You agree to:

- Provide all necessary information, access, and approvals for us to perform our work.
- Ensure that any materials you supply do not infringe on third-party rights or violate laws.
- Pay all agreed-upon fees as outlined in your proposal or invoice.

-Respond to our requests for feedback and materials in a timely manner.

We are not responsible for delays or outcomes caused by your failure to meet these obligations.

5. No Guarantee of Results
While we strive to deliver high-quality work, we do not guarantee specific outcomes such as increased sales, leads, or conversions. Results depend on many factors outside our control, including market conditions, client participation, and customer behavior.


6. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or in connection with the use of our services, even if advised of the possibility of such damages. Your exclusive and sole remedy for any dissatisfaction with our services is to stop using them. In no event shall our total cumulative liability for any claim, regardless of form or cause of action, exceed the total amount actually paid by you to us for the specific service giving rise to the claim.


7. Indemnification
You agree to indemnify, defend, and hold harmless Prime Client Systems, its owners, employees, and contractors from any claims, damages, losses, or expenses (including attorney’s fees) arising from your use of our services, your breach of these Terms, or your violation of any law or third-party rights.


8. Governing Law & Jurisdiction
These Terms & Conditions are governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. You agree that any legal action or proceeding between you and Prime Client Systems shall be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts.


9. Termination
We may suspend or terminate services at any time, with or without cause, by providing written notice to the client. Any outstanding payments remain due and payable upon termination.


10. Changes to These Terms
We reserve the right to update these Terms & Conditions at any time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of our services after changes are posted constitutes your acceptance of those changes.
